In these Terms, "Customer" refers to the organization or individual that registers for and uses AskSammy's Services. "User" describes the employees or representatives authorized by the Customer to access the platform. "Customer Data" encompasses all information, content, and data submitted to or processed by AskSammy.
3. Service Description and Limitations
AskSammy provides an AI-powered customer support platform designed to assist businesses in managing customer interactions. We explicitly state that we do not guarantee complete resolution of all customer inquiries, uninterrupted or error-free service, or specific outcomes from using the Service. The Customer remains solely responsible for final customer service decisions, ensuring compliance with applicable laws and regulations, and verifying AI-generated content before use.
4. User Account and Security
Customers must provide accurate registration information and maintain complete responsibility for account security. We prohibit the sharing of account credentials and reserve the right to suspend or terminate accounts for violations of these Terms, suspected fraudulent activity, or failure to meet payment obligations. Account termination may occur without prior notice.
5. Subscription and Payment
Subscription fees are charged on a monthly or annual basis, with prices subject to change upon 30 days' notice. Payments are non-refundable except as required by law. Subscriptions automatically renew unless cancelled, and customers may terminate their subscription at any time through account settings.
6. Acceptable Use Policy
Customers are strictly prohibited from using the Service for illegal or fraudulent purposes, attempting to bypass system security, uploading malicious code, infringing on intellectual property rights, or violating the rights of other users. We reserve the right to review and remove inappropriate content processed through the Service, with the Customer bearing full responsibility for such content.
7. Intellectual Property Rights
AskSammy retains all rights to its AI technology, platform, and related intellectual property. Customers receive a limited, non-exclusive license to use the Service. While customers retain ownership of their submitted data, we are granted a limited license to process this data for Service provision. Any feedback provided may be used to improve our Service without compensation or attribution.
8. Confidentiality and Data Protection
We process data in compliance with applicable data protection laws, with detailed practices outlined in our Privacy Policy. Customers must obtain necessary consents for submitted data. Both parties agree to protect confidential information, with these obligations surviving the termination of the Service. Confidentiality does not apply to publicly available information.
9. AI-Generated Content Disclaimer
AI-generated content is provided "as is" without any warranties. Customers bear sole responsibility for reviewing and verifying AI outputs and for any decisions based on AI-generated content. We make no representations about the accuracy, reliability, or completeness of AI-generated information.
10. Limitation of Liability
The Service is provided without explicit guarantees, and we disclaim all implied warranties. Customers use the Service at their own risk. Our maximum liability is limited to the amount paid for Services in the preceding 12 months. We are not liable for indirect or consequential damages, lost profits, business interruption, or data loss or corruption.
11. Indemnification
Customers agree to indemnify and hold AskSammy harmless from any claims arising from misuse of the Service, violation of these Terms, inappropriate use of AI-generated content, breach of applicable laws, or third-party claims related to the Customer's use of the Service.
12. Dispute Resolution
These Terms are governed by the laws of the Netherlands, with exclusive jurisdiction in the courts of Amsterdam. Parties agree to attempt amicable resolution before pursuing legal action, with mandatory mediation potentially required before litigation.
13. Miscellaneous
If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force. Invalid provisions will be replaced with valid provisions that most closely match the original intent. These Terms constitute the entire agreement between parties, with no additional representations or warranties existing beyond these Terms.
